Terms and Conditions

 

1.  Return/Cancellation:

We offer several different license models, and each has a unique return policy.  Please view your type of license model below for the appropriate return policy. Should you have any additional questions, please contact our sales team:  sales@numericalinnovations.com

 

(A)  Subscription (Month-to-Month)
The service begins when we confirm your initial payment. We will charge you the fee stated at the time of purchase monthly until you cancel. Once the fee has been charged each month, that charge is final and no refund is available. The fee is subject to change—but we’ll always notify you beforehand. You can cancel any time by contacting our sales team:  sales@numericalinnovations.com. Cancelling your membership stops the charge at the start of your next billing term—but your service will continue through the end of your current term. Cancellations must be requested at least two days prior to the next billing term to avoid being billed another month.

 

(B)  Subscription (Annual)

The service begins when we confirm your initial payment. We will charge you the fee stated at the time of purchase annually until you cancel. Once the fee has been charged each year, that charge is final and no refund is available. The fee is subject to change—but we’ll always notify you beforehand. You can cancel any time by contacting our sales team:  sales@numericalinnovations.com. Cancelling your membership stops the charge at the start of your next billing term—but your service will continue through the end of your current term.

 

(C) Perpetual (Permanent License)

All orders for perpetual (permanent licenses) are final.  At your request, we are happy to provide full-featured trial licenses to completely test and review our products before purchase. In addition we offer subscription based licenses for most products, which allow further evaluation of our software on a short term recurring basis before purchase of a perpetual license.

 

2.  Lifetime Maintenance (Optional):

Unless otherwise specified, the Lifetime Maintenance is valid for as long as we continue to develop the software product as the independent entity Numerical Innovations, Inc. What this means is, you are eligible to freely receive every future upgrade, update, new release, and bug fix -- there will never be any additional charge. Click Here for more about Lifetime Maintenance benefits.

Transferability:  The Lifetime Maintenance is intended to be valid for your lifetime usage of the product.  In the event the original user leaves the company, the Lifetime Maintenance may be transferred to another user ONLY at the same company. It cannot be transferred to another location or different company entity.

Cancellation:  The Lifetime Maintenance may NOT be transferred to another company, entity, or international site location. In the event your company is acquired, operates by another entity name, or relocated to a different country the Lifetime Maintenance will be voided.  The Lifetime Maintenance is valid only for the specific software product and license type purchased.

Upgrade vs Update:  An Upgrade is a major software release and the primary version number will change - for example Version 3.x to Version 4.x. With Upgrades there are typically drastic changes involved, require an upgrade cost, and/or a new license key. Upgrades usually occur once every 4 years. At that time when a new upgrade is released, you can decide whether to move up to the new Upgrade Version or remain with the existing Version. Updates are very frequent and usually occur once a month. Updates include bug fixes, improvements, and new features.  Lifetime Maintenance includes all Upgrades, Updates, and Bug fixes.

Note: Perpetual license users without maintenance are eligible to receive all updates and technical support for the first 90 days after purchase; unlimited access to our user forum community and activation code center (to retrieve license information anytime 24/7).

3.  Software Delivery / Backup / Other:

  All software is delivered electronically via the internet.

  For security purposes, we backup all downloadable Installation packages daily and maintain them for up to one year.  We cannot guarantee older Installation packages or previous releases will be available for download, and strongly encourage users to save or backup their downloaded files to a safe place.

  Unless otherwise stated promotional items must be redeemed within 1 year from the purchase date or they will become void.

  Numerical Cloud - Legacy software support. We recommend all subscribers use the latest software releases.  Due to subscriber requests our legacy software tools have been added: EasyGerb V7, ACE3000 V7,FAB3000 V7. These legacy tools are no longer supported; we cannot assist with any technical or activation issues. EasyGerb should be substituted with: ACE 2D/3D Translator V8.

  Numerical Cloud - Statements. All purchases made directly on our Numerical Cloud Subscription page will be sent a statement to the email entered at time of sign up.  This is the End Users proof of payment. Invoices are not issued.

4.  Consulting and Engineering Services:

  Unless otherwise stated guarantees offered for our consulting and engineering services are limited to 1 year from the invoice date.

5.  Resellers (only):

  Only permanent licenses are recommended for purchase thru resellers.

Subscription purchase:  A reseller or 3rd Party can purchase a subscription on behalf of a customer, however there will not be any reseller discount offered. When possible, subscriptions should be purchased directly by a customer (end-user).
